Terms and Conditions

These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with Provin Natural Company for Wholesale and Retail W.L.L ("us", "we", or "our").

Provin operates the Provin online platform and acts as the supplier and facilitator of products and Services made available through our platform. These products and Services are sourced from licensed Vendors. Provin is not the manufacturer of the products or the direct provider of medical or health services. The Vendors remain solely responsible for compliance with all medical, health, and regulatory requirements relating to their products and services.

Please read these Terms and Conditions carefully before using our Services. Please refer to our Privacy Policy for details on how we deal with your data.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users and others who access or use the Service.

These Terms will be effective upon your acceptance (directly or indirectly in electronic form, by clicking on the “I agree” tab or by using the Service) and will govern the relationship between you and us for your use of the Service.

About Us

We are Provin Natural Company for Wholesale and Retail, a limited liability company incorporated and existing under the laws of the State of Kuwait, holding commercial registration number 528734 and having its registered address at Commercial Office 8, Floor 16, Kuwait Finance House, Al Wazzan Street, Block 001, Mirqab, Kuwait.

Our role is to operate the online platform; supply products sourced from licensed Vendors and facilitate access to Services offered by those Vendors. We do not manufacture products or provide medical services ourselves, and all Vendors remain responsible for holding the necessary licenses and approvals for their offerings.

If we have to contact you, we will do so by telephone or by writing to you at the email address you have provided to us upon registration for the Service.

Definitions

“Vendors” means licensed third-party clinics, pharmacies, laboratories, nutrition centers, or other professional entities that sell products and/or directly provide health or wellness services to users through the Platform and approved by the Ministry of Health in the State of Kuwait. The Vendor’s name will be displayed on the relevant product or service, and the Vendor remains solely responsible for compliance with applicable medical/health regulations, product/service quality, and any professional advice or outcomes.

“Service Providers” means third-party companies that support the operation of the Platform and Provin’s business (including cloud hosting, IT, analytics, payments, delivery/logistics, and marketing). Service Providers do not sell products to users or provide medical/health services to users via the Platform and act under contract to support Provin.

Description of Services

Provin offers the following services through its mobile application, social media platforms and website (the "Service(s)") which are provided by Vendors. Provin supplies and facilitates access to such Services and products; Vendors are solely responsible for regulatory compliance and professional standards:

(i) sale of natural medical supplements and therapeutic herbs sourced from Vendors and displayed under the Vendor’s name on the platform;

(ii) personalized nutrition consultations provided by licensed Vendors or qualified professionals engaged by them;

(iii) at-home blood testing services facilitated through Vendors in partnership with approved and regulated laboratories; and.

(iv) interpretation of blood test results and recommendations for suitable supplements carried out by licensed Vendors or professionals under their responsibility.

User Account and Registration

To use certain features, you must create an account. You may register using an email address or social login (e.g., Google, Apple ID). By registering, you agree to:

(i) provide accurate and complete information;

(ii) maintain the confidentiality of your login credentials; and

(iii) notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate any account for violation of these Terms or applicable laws.

Purchases

If you wish to purchase any product or Service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

By submitting such information, you consent to allowing us to provide certain information to third parties engaged by us (our Service Providers, such as delivery service providers, payment processors, or consultation providers) for purposes of facilitating the completion of Purchases.

Receipt of your Purchase will be acknowledged by email. However, the Purchase is only confirmed when you receive a notification from us confirming dispatch of the relevant item(s). No party other than us has the authority to confirm acceptance of the Purchase.

For transparency, the Vendor’s name will appear on the invoice or confirmation. The Vendor remains legally responsible for the product or Service provided.

We reserve the right to refuse or cancel your Purchase at any time at our discretion including but not limited to product unavailability, errors in the description or price of the product or Service or suspected fraudulent or unauthorized activity.

For supplements and herbal remedies, pricing, and promotions, we are following the regulations of local authorities.

Availability, Errors and Inaccuracies

We are constantly updating our offerings of products and Services on the Service. The products or Services available on our Service may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the Service and in our advertising on other websites.

We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice. However, if you have already placed an order for a Purchase from us, we will notify you of any changes, and you may choose to cancel or adjust your order accordingly.

Health Disclaimer

[The Services we provide, including consultations, product recommendations, and at-home testing facilitation, are for general wellness and informational purposes only. The Service is not provided by licensed doctors. These Services are provided by our suppliers and Vendors and not through us directly. The Service is not intended to be used for medical diagnosis or

We do not provide medical advice, diagnosis, or treatment. All medical or health-related services and product recommendations are prepared by the Vendors, who remain solely responsible for compliance with applicable health, medical, and regulatory requirements.

Your use of the Service is at your own risk, and we disclaim any liability arising from reliance on any wellness content, supplement recommendations, or test result interpretations offered through the Service or services offered through our providers and Vendors.

Product Liability

By placing a Purchase through our Website, you acknowledge and agree that full liability for the Services rests solely with the manufacturer and/or Vendor and that we carry no product liability for those items in relation to returning the Purchases, product quality, safety, regulatory compliance, returns, refunds, recalls and refunding the price paid (where applicable).

Title of Goods

The products and Services available on our platform are provided by licensed Vendors. Provin does not manufacture the products or deliver the Services itself.

Title to the items in your Purchase will pass to you on the later of the day on which: (i) you pay us in full for those items; or (ii) the day you receive the items. Risk in the items passes to you upon delivery. For the avoidance of doubt, the Vendor remains legally responsible for the quality, safety, and compliance of the products and Services provided. Provin’s role is limited to facilitating the supply and delivery of those items to you.

The Service and its original content, features and functionality are and will remain the exclusive property of Provin and its licensors. The Service is protected by copyright, trademark, and other laws of the State of Kuwait and other jurisdictions. Our trademarks and branding may not be used in connection with any product or Service without our prior written consent.

All intellectual property rights in the products and Services themselves, including trademarks, brand names, and packaging, remain the property of the respective Vendors. Provin’s trademarks and branding relate only to the platform and may not be used in connection with any product or service without our prior written consent.

Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that content posted on the Service infringes the copyright or other intellectual property rights ("Infringement") of any third party.

If you are a copyright owner, or authorized on behalf of one, and you believe that your copyrighted work has been copied in a way that constitutes Infringement through the Service, you must submit your notice in writing to info@provin.me with a detailed description of the alleged Infringement.

You may be held liable for damages (including costs and attorneys' fees) for misrepresenting that any content is infringing your copyright.

Termination

We may suspend or terminate your account at any time, without prior notice or liability, for any violation of these Terms or applicable law.

Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time, and upon termination, your personal data will be deleted unless required to be retained under applicable law.

No Warranty

Except as otherwise provided in these Terms or required by applicable law, we make no representation, covenant or warranty and offer no other conditions, express or implied, regarding any matter, including, without limitation, the merchantability, suitability, fitness for a particular use or purpose, or non-infringement of website membership, any content, or any Purchases or Services provided.

Your use of the Services at your sole risk and it is provided on an "as is" and "as available" basis. We reserve the right to restrict or terminate your access to the Service at any time. Save as required by law, we make no warranties that access to the Service will be uninterrupted or error-free; that the Service will be secure; that the Service or the server that makes the site available will be virus-free; or that information on the site will be correct, accurate, adequate, useful, timely, reliable or otherwise complete. If you download any content from the Service, you do so at your own discretion and risk. You will be solely responsible for any damage to your computer or loss of data that results from the download of any such content. No advice or information obtained by you from the Service shall create any warranty of any kind.

Liability

In no event shall Provin, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

(i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

Indemnity

You agree to defend, indemnify and hold us, our directors, agents, affiliates, licensors and suppliers harmless from and against any and all claims, damages, costs and expenses, including legal fees, arising from or related to your use of the Service and/or your breach of any representation, warranty, or other provision of the Service Terms, including the use by third parties accessing the Service using your account caused by your action or inaction.

Entire Agreement

You acknowledge and agree that these Terms constitute the complete and exclusive agreement between us concerning your use of the Service and any Purchase by you of any items through the Service, and supersede and govern all prior proposals, agreements, or other communications.

Changes

Provin may change these Terms from time to time without notice. Any changes we may make to these Terms in the future will be posted where appropriate. Your continued use of the Services provided by Provin or engagement with Provin after we publish our changes to these Terms will mean that you are consenting to the updated Terms. Provin reserves the right in its sole and absolute discretion to change these policies, terms, and disclaimers at any time. No Agency

Nothing contained in these Terms shall be construed as creating any agency, partnership, or other form of joint enterprise between us.

Assignment

We may assign our rights under this Agreement to any affiliate or parent company of Provin without your prior written consent.

No Waiver

Any failure to exercise or any delay by either party in exercising its rights or remedies under these Terms shall not be construed as a waiver thereof. The rights and remedies provided by these Terms are cumulative and are not exclusive of any rights or remedies provided by law.

Illegality

If any provision of these Website Terms is held to be illegal or unenforceable, the remaining Terms (or parts thereof) will not be affected and will remain in full force and effect.

Governing Law and Jurisdiction

These Terms, together with any non-contractual obligations arising from or in connection with them, shall be governed by and construed in accordance with the laws of the State of Kuwait.

You agree that any disputes which may arise in connection with the creation, validity, effect, interpretation or performance of these Terms, or any legal relationship established thereby, shall be submitted to the exclusive jurisdiction of the Courts of Kuwait.
